By accessing the website located at www.cocoanutcapital.com (the "site"), the visitor agrees to these Terms of Use. Visitors who do not agree to these terms should not use the site.
The site is published by Cocoanut Row Capital Partners (the "firm") for informational purposes only. Nothing on the site is intended as, or should be construed as, an offer to sell or a solicitation of an offer to buy any security or any interest in any vehicle organized by the firm.
Offers, where made, are made solely through the confidential offering materials and subscription documents of each specific vehicle, distributed on a named-recipient basis to parties with whom the firm has established a substantive pre-existing relationship.
Nothing on the site constitutes investment, legal, tax, accounting, or regulatory advice. Visitors considering any transaction should consult their own qualified advisers.
The site is made available for the visitor's personal, non-commercial review. Content on the site may not be reproduced, redistributed, framed, mirrored, scraped, or used to train any machine-learning model, in whole or in part, without the firm's prior written consent.
All content on the site — including the firm's name, marks, typography, copy, photography (where applicable), and page layouts — is the property of Cocoanut Row Capital Partners or its licensors. All rights reserved.
The site includes links to third-party services, including an investor portal operated by Allocations. The firm does not control, and is not responsible for, the content or availability of third-party services. A visitor's use of any third-party service is governed by the terms of that service.
Certain statements on the site reflect the firm's present views of intended practice. Such statements are not guarantees, are subject to change without notice, and will be superseded by the governing documents of any specific vehicle at the time of offering.
No warranty. The site is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, the firm disclaims all representations and warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, timeliness, uninterrupted availability, and freedom from viruses or other harmful components. The firm does not warrant that content on the site is accurate, complete, or current. Content reflects the firm's views at the time of publication and is subject to change without notice.
No reliance. Visitors should not act or refrain from acting in reliance on any content on the site. Investment, legal, tax, and regulatory decisions should be made in consultation with the visitor's own qualified advisers and on the basis of the confidential offering materials and subscription documents of a specific vehicle, where applicable.
Limitation of liability. To the fullest extent permitted by law, in no event shall the firm, its affiliates, or any of their respective members, managers, officers, employees, agents, or professional advisers be liable to any visitor for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost data, lost goodwill, or cost of substitute services, arising out of or relating to the visitor's access to or use of, or inability to access or use, the site, whether based in contract, tort (including negligence), strict liability, or any other theory, and whether or not the firm has been advised of the possibility of such damages. The aggregate liability of the firm and its affiliates to any visitor arising out of or relating to the site shall not exceed one hundred United States dollars (US$100).
Exceptions that cannot be disclaimed. Nothing in these Terms of Use excludes or limits liability for fraud, fraudulent misrepresentation, intentional misconduct, gross negligence, or any other liability that cannot lawfully be excluded or limited under the governing law specified in Section 9.
Governing law. These Terms of Use, and any dispute arising out of or relating to them or to the visitor's use of the site, are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Exclusive jurisdiction. The state and federal courts located in the State of Delaware shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms of Use or the visitor's use of the site. The visitor irrevocably submits to the personal jurisdiction of those courts and waives any objection to venue on the grounds of forum non conveniens or otherwise.
Waiver of jury trial. To the fullest extent permitted by law, each of the firm and the visitor irrevocably waives any right to a trial by jury in any action, suit, or proceeding arising out of or relating to these Terms of Use or the visitor's use of the site.
Equitable relief. Nothing in this Section 9 shall prevent the firm from seeking injunctive or other equitable relief in any court of competent jurisdiction in respect of any actual or threatened breach of Sections 4 (Permitted Use) or 5 (Intellectual Property).
Mandatory law. Nothing in this Section 9 is intended to deprive a visitor of the protection of any mandatory provision of law of the country in which the visitor is habitually resident, where such provision cannot be derogated from by agreement. In the event of any conflict between this Section 9 and such a mandatory provision, the mandatory provision prevails to the minimum extent necessary.
The firm may modify these Terms of Use from time to time. Material changes will be indicated by a revised date at the top of the page. Continued use of the site following publication of revised terms constitutes acceptance of those terms.
